I only take commissions on the platform VGen for my own safety, comfort and ease of management.If I know a client well, am certain of their legitimacy, the client has worked with me in the past or on another case-by-case basis, I may be willing to do private business without a third party such as VGen.

What is VGen?

VGen is a specific platform that is centered around artists and facilitating artist-client interactions, commonly within the digital art and VTuber communities. It allows artists a professional space to showcase their work and acts as a site to connect with potential clients and manage commissions all in one. VGen also prohibits generative AI content, allowing for human creativity to shine!

COMMISSION TERMS OF SERVICE

This Terms of Service Agreement is entered into between the Artist (cyrinclysm / Rin) and the Client for the commission of an artwork. By buying from the artist, it is assumed you understand and agree with them in full.

  1. Engagement and Acceptance

  1. Client is 18+ and legally able to commit to an agreement or has a legal guardian to make this agreement on their behalf.

  2. Agreement date is upon first inquiry/communication or first transaction.

  3. Client provides clear and complete requirements and expectations upfront, including clear reference materials before Work begins, and grants to the Artist non-exclusive right to observe and replicate Client’s own character design and reference material for the use of the Work.

  4. Artist defines scope of work, features, price, deliverables and other details for the project in a proposal in a format according to Artist discretion which may include private message through Discord, VGen, Bsky or Other. The details set forth by the Artist shall be agreed upon by the Client before work begins.

  5. Artist reserves the right to refuse projects or requests based on content, subject, or other reasons. Client will be notified prior to payment and scope altered or project cancelled if no resolution can be found as a result of such.

  6. No depictions of copyrighted or trademarked brand names, merchandise, or logoworks in my artwork are intended to infringe on copyright, threaten commercial use or sales, imply incorrect intellectual ownership, or slander. Appropriate and creative measures are taken to avoid infringing on others’ copyrighted property or intellectual work, and to creatively transform said work as necessary for fair use.

  7. Businesses, agencies, groups and other organizations should contact the Artist to discuss arrangements in more detail.

  1. TIMELINE, COMMUNICATION AND REVISIONS

  1. Exact timeline will depend on the overall scope of the project, but can typically vary from 72 hours to 3 months.

  2. Consistent and ongoing communication will occur during the entire duration of the project, including work in progress shots, idea generation and collaboration, situational updates, and more, through a mode of contact determined between the Artist's discretion and Client's preferences.

  3. Unless indicated by the scope of the commission by the Artist (ie. 'surprise' or SKEB-style projects) or by preference of the Client, progress updates are to be provided regularly and voluntarily.

  4. Any delays or changes to the timeline will be informed to the Client by the Artist promptly.

  5. Unlimited major revisions may be requested during the early phases of the commission (ie. the sketch phase).

  6. After a cleaned sketch work in progress shot is delivered to the Client, only minor revisions are allowed.

  7. Unless by error on the Artist, additional charges may apply for excessive and/or major revisions in late stages of project, or post-completion of the project.

  8. Revisions may affect progress and timeline, regardless of stage, and may cause delays in completion of Work.

  1. PAYMENT TERMS

  1. Client pays in full up-front unless discussed on a per-client basis and accepted at artist's discretion.

  2. Invoices, proposal or payment link will be sent to the Client when Artist is ready to begin work. Clients must not send money before these requests for payment from the Artist.

  3. Prices are in USD and paid via PayPal, Ko-Fi or VGen, or methods as provided by the Artist.

  4. If payment is not received as discussed and the Client has failed to provide sufficient reasoning for such, the commission will be cancelled and the slot may be forfeit based on demand.

  5. Prices may vary or change depending on complexity, requirements and/or additional requests.

  1. RIGHTS AND USAGE

  1. Artist Rights: The Artist retains copyright, ownership, redistribution and intellectual property rights to all art the Artist creates, and may display, advertise and distribute the Work in all stages on websites, social media, portfolios, public broadcast channels and more.

  2. Client Rights: Client gains exclusive, non-transferable usage to the work for personal use (display on social media accounts for promotional purposes with no direct monetization), unless discussed. This includes but isn't limited to: use as social media avatars, profile pictures and headers; printing and display of the artwork in personal spaces; displaying or posting of the commissioned piece on the client’s social media, personal galleries, or character profiles.

  3. Commercial Rights: Commercial usage rights (usage of Work on streams or any monetized instances, or selling or reselling Work to another party, as a part of any product, or on another platform) are not included unless specified in the commission type or listing on the Artist’s websites or as agreed upon. Additional charges will be required for commercial usage if not included, typically 2x of the original cost.

  4. Usage of Work for AI (artificial intelligence) tools; platforms or programs, ML (machine learning) tools, platforms or programs; AI or ML training; NFT; blockchain; or other for-profit platforms/purposes, is strictly prohibited and consent is not granted to these under any circumstance.

  5. Anyone that is not the Artist must not claim Work as their own and Work must remain credited to Artist in some way that is visible or accessible when the art is being displayed, and will not edit or modify work in any way without permission from the Artist.

  1. CANCELLATIONS AND REFUNDS

  1. Cancellations can be requested by client at any time. If Client requests a cancellation, 100% of project fees will be forfeit if the artist has already started the commission in any capacity. A full refund may be provided only prior to the artist beginning work on the project.

  2. For whatever reason, if the artist is unable to complete a client's commission, the client will be notified and a full refund will be issued, regardless of the progress done on the illustration.

  3. If a commission is cancelled and there is any progress done, the artist retains full right to the art and may reuse sketches as a base for future work (in the form of YCHs) or otherwise. Any cancelled custom design work may be finished and/or sold as an adoptable design.

DESIGN TERMS OF SERVICE

This Terms of Service Agreement is entered into between the Artist (cyrinclysm / Rin) and the Client for the sale of an adoptable OR custom Design. By buying from the artist, it is assumed you understand and agree with them in full.

  1. ORIGINAL ILLUSTRATION RIGHTS

  1. The illustration/works of the Design made by the Artist are subject to the same rights and usage as is outlined in clause 4 of the Artist's Commission Terms of Service.

  1. DESIGN RIGHTS

  1. Upon purchasing a Design by the Artist (whether directly from Artist or via secondhand sale), the Client is granted full personal and commercial rights to the Design. No additional commercial license fee will be requested as it is implied to be included in the initial agreed-upon price of the design.

  2. Anyone that is not the Artist must not claim Design as their own and Work must remain credited to Artist in some way that is visible or accessible when the Design is being displayed.

  3. Client of design made by the Artist are free to alter the character's design however they desire.

  4. Client may sell and trade the design as they find fitting, however Client should take into account original value of design at purchase as well as any accumulated value made through personal art and other paid commissions to their best knowledge when determining a price to sell a Design.

  5. Artist is not responsible for managing or approving a resale price and any transactions with a third party regarding worth and value are assumed to be in good faith. Any unfair price inflation from a third party sale is not subject to settlement by the Artist.

  6. Artist will never 'revoke' a design from the current owner, and it is not the job of the Artist to settle ownership disputes.

  7. It is the sole responsibility of the Client to safekeep any bought digital assets. You may request for the Artist to send you a digital copy of sold media, but I have no requirement to do so. The loss of any digital assets of the Artist's by fault of the Client are not eligible for a refund.
